We get involved as early as the point when you’re very interested in a particular deal. We are available to discuss and advise on deal structure, negotiations, and other pre-LOI matters. We are also able to connect you with trusted colleagues who can then further assist on the lending and preliminary financial review. To get you started on the best foot, we often draft LOIs for clients at this juncture, and just charge a small flat fee($500) for that service.
Otherwise, we’re ready to help as soon as you’re under LOI. At that point, we start intensive legal-due diligence and entity formations, and are ready to advise and help on all aspects of your deal from that point forward
Deal fees are always flat and all-inclusive. They vary dependent upon the size of your deal. If you’d like further details on what the fee might be on your deal, please book a consultation and we can get to specifics.
Yes - advice on all aspects of entity formation options is always included in deal representation. However, we do not form entities or advise on entity formation outside of an individual deal.

NO! Everyone hates hourly fees (including us). All of our deal fees are flat, all-inclusive fees.
We are very niche focused and exclusively provide deal representation. We have a network of other lawyers to whom we can refer you for any other needs.

Only in conjunction with a particular deal. For instance if you have a deal you’re working on, and want to raise some equity partner funds to help you purchase, we can definitely help. For raising funds in a search-fund context, or where you don’t have a particular target in mind, we would have to refer you to a colleague to best help you.
