“Never sign a contract you don’t fully understand.”

Growth strategy

Your business deserves good contracts. I can help!

Your business be bound by the contracts you sign for it.

When it comes to contracts, one thing is certain whether you’re a solopreneur just starting out, or a growing corporation with dozens of employees. You will be held to the contracts you sign.

Problem is, contracts are more complicated than they appear. Words can have double meanings, terms of art can be presumed to be understood, and droning, boiler-plate sounding language can have hidden deadly traps that can be devastating for your business! Even worse, if the contract you are being presented was drafted by the other party’s lawyer, you be virtually certain that it contains many provisions that are very good for the other party and very bad (like who bears risks of lawsuits from third parties, who owns intellectual property that is involved, how and where disputes will be resolved… and more).

A thorough contract review can help you understand the risks involved, the provisions that may not be favorable to your business, and sometimes even some hidden obligations you didn’t realize you had. Whenever I find questionable or concerning provisions, I always suggest an alternative so that you have some ammo to negotiate with.

Whether you’re dealing with a large corporation who had their contract carefully crafted by the huge legal department, or a small local business who may have put together their own contracts, I can help you make sure that the contracts you sign are what you expected and don’t have any hidden and costly surprises.

Contract provisions that need special attention with a contract review:

Some contract provisions are just plain complicated. Others easily contain high risk provisions that can be easily overlooked. Here are some of the contract provisions that are particularly tricky. I always pay particular attention to these provisions with any contract review:

  • Indemnification provisions
  • Liability waiver (including COVID-19 liability)
  • Non-disclosure or confidentiality clauses (often can be overbroad or onerous)
  • Non-compete provisions (almost completely outlawed in Washington and in many other states)
  • Licensing
  • Dispute resolution (such as mandatory arbitration)
  • Contract renewal terms
