Performance Holdback

A portion of the purchase price that is held back past closing contingent upon certain deliverables being provided by the seller, certain reps and certs to be fully verified, certain goals to be met, or certain documents to be signed.

If there truly is a concern about all conditions of the transaction to be fully completed, a performance holdback is a better mechanism than a clawback provision since clawback provisions require litigation or a very cooperative seller to enforce.
